Stephen Ellick represents a wide variety of clients in commercial real estate and business transactions, real estate and partnership tax matters, and estate and business succession planning.

In his commercial real estate and tax practice, Mr. Ellick represents real estate owners and developers, tenants, and individual and institutional investors with respect to the acquisition, development, construction, leasing, financing and disposition of real property. Mr. Ellick has a particular expertise in the structuring of joint ventures and investment vehicles to acquire, develop and finance real property (including the negotiation and preparation of partnership agreements, limited liability company operating agreements and shareholder agreements). He also represents commercial banks and other financial institutions in originating real estate and other asset-backed loans, including acquisition, construction, bridge, permanent and mezzanine loans.

In his business practice, Mr. Ellick counsels various entrepreneurs and private and public companies in day-to-day business matters, including corporate governance, loan and financing transactions, leasing matters, licensing agreements, employment agreements and other commercial contracts.

In his estate and business succession planning practice, Mr. Ellick advises high net-worth individuals, families and family businesses concerning their estate and business succession plans. This includes the structuring and preparation of wills, trusts (including revocable and irrevocable trusts, life insurance trusts, grantor trusts and charitable trusts), buy-sell agreements and gifting programs utilizing family limited partnerships and other entities.

Prior to becoming a partner of the firm, Mr. Ellick practiced law at the law firms of Tucker, Flyer & Lewis (now Venable), Paul, Weiss, Rifkind, Wharton & Garrison and Fried, Frank, Harris, Shriver & Jacobson.

Mr. Ellick received his undergraduate education at the University of Pennsylvania (B.A., cum laude, 1988), and his law degree from the George Washington University National Law Center (JD, with honors, 1992), where he was a member of the George Washington Law Review.

Mr. Ellick is admitted to practice law in the District of Columbia and the State of New York. He is a member of the Taxation and Probate and Real Property Sections of the District of Columbia and New York State Bar Associations. He is also a member of the American Bar Association.
